TERMS OF SERVICE

Terms of Use for Showrooming

SAS® Showrooming Space is a showrooming space managed and operated by Ripple Corporation (“we”) on behalf of Kyoya Co. We provide space for the general public to display their products and works. The following items constitute the terms of use (hereinafter referred to as "this Agreement") for renting the showrooming space.

Rental Period

The rental period will be determined based on the plan you choose.

  • Trial Plan: 2 weeks (6 business days)

  • Basic, Standard, and Premium Plans: 4 weeks (12 business days)

The operating hours of the showrooming space are generally Friday, Saturday, and Sunday from 13:00 to 19:00.
※Please note that these hours may vary depending on events held in the adjacent event space. Any changes will be communicated in advance.

Tentative Reservation

If you are considering using the showrooming space, please check the availability in advance through our contact form. If the space is available, you can hold a tentative reservation.
Please notify us of your final decision to confirm, change, or cancel your reservation at least 60 days before the start date of use.

※If we do not hear from you, the tentative reservation will be canceled. Thank you for your understanding.

Application Procedure

Once the date of use has been confirmed, we will send you the URL for the usage decision form. Please fill out the form and your reservation will be confirmed.
Once your reservation is confirmed, we will send you an invoice, which you are requested to confirm and pay by the due date.
Please note that your tentative reservation may become invalid if you do not apply with the usage decision form at least one month prior to the scheduled date of use.
We reserve the right to refuse the use of the space if we deem that the information you have provided is problematic in terms of our management.

Usage Fees

The usage fees will be determined based on the plan you choose.

  • Shipping costs for display items are not included and must be borne by the user.

  • Please note that if you wish to sell through the SAS online store, a sales commission (15%) will be charged.

Payment Method

Payment is to be made in advance by bank transfer to the designated account. Please transfer the fee by the date indicated on the invoice after the decision to use the service has been made.
We apologize, but the transfer fee should be borne by the user.
Please note that if you cannot make the payment by the due date (as specified on the invoice) and do not notify us, your reservation may be canceled.

Receipt

A "payment receipt" from the bank or a printed statement of the transfer details from internet banking can serve as a receipt. However, if you absolutely require an official receipt, please notify us in advance.

Cancellation of Application

Please contact us by email or phone to cancel your application or change the date of use.
Cancellation fees will be charged as follows:

  • Cancellation 15 to 30 days before the start date of use: 50%

  • Cancellation on the day of or up to 14 days before the start date of use: 100%

Restrictions on Lending

We cannot lend the space under the following circumstances:

  • If there is a risk of violating public morals or causing problems with public order, or if such confirmation is difficult according to our judgment

  • If we determine that the use of the showrooming space and event space may cause inconvenience or danger to users or neighbors

  • If there are problematic actions or uses according to our judgment, or if the content does not align with our policies, and if unavoidable circumstances arise for business reasons, even after approval of lending, we reserve the right to cancel the lending. In such cases, the received usage fee will be fully refunded, but we assume no responsibility for damages incurred by other users or third parties.

Damages and Compensation

In the event that we determine there are other problematic acts or uses, or if the content does not align with our company’s policies and it becomes unavoidable due to operational reasons, the user agrees in advance that we may cancel the rental even after approval has been granted. In such cases, the full amount of the usage fee already received will be refunded; however, our company shall not be liable for any other damages incurred by the user.
We are also unable to provide compensation for any damage, theft, fire, or other losses involving exhibited items. Please ensure that any items displayed are safe for handling by the general public.

Disclaimer

  • The Company shall not be liable for compensation for any damages incurred by the user due to circumstances beyond our control, such as natural disasters, accidents, personal injuries, loss, theft, or any other incidents, even if the use of the showrooming space is suspended or delayed.

  • The Company shall not be liable to compensate for any damage caused to the user's goods or property during the showrooming space rental period, even if the user's goods or property are soiled or damaged due to a natural disaster (earthquake, torrential rain, etc.) or other reasons beyond the Company's control.

Exclusion of Anti-Social Forces

The user represents that they are not, and will not be in the future, affiliated with organized crime groups, gang members, gang-related companies, affiliates, or any other anti-social forces. In the event that the user violates this representation, the Company reserves the right to suspend the user's use of the showrooming space without prior notice. In such cases, the Company shall not be liable for any damages incurred by the user.

Changes to the Terms

The Company reserves the right to change these terms without prior notice.

Event Space Terms of Use

SAS® Event Space is an event space managed and operated by Ripple Corporation (“we”) on behalf of Kyoya Co. The space is available for rent as a space that can be utilized for events and exhibitions. Each of the following is the terms and conditions of the event space rental (hereinafter referred to as the “Agreement”).

Usage Hours

The rental period includes all time required for receiving and shipping exhibits, setup and preparation, and teardown and cleanup.
In principle, the space is rented on a full-day basis, from 9:00 AM to 6:00 PM (9 hours per day).
*An extension of up to one hour until 7:00 PM is possible for an additional fee.

Hourly rentals are available for a minimum of 3 hours.

Please note that entry to the venue is allowed from 10 minutes before the start time, and departure must be completed within the rental time.
If you stay beyond the contracted time, even slightly, an additional charge will be applied.

Restrictions on Rental

Rental under the following circumstances is not permissible:

  • If there is a risk of violating public order and morals or causing issues related to public decency, or if such determination is difficult for our company.

  • If the use of the showrooming space or event rental space may cause inconvenience or danger to users or neighbors, as determined by our company.

Management Responsibility

During the rental period (including setup and teardown), the user shall bear full responsibility for the management of the event, regardless of any actions by related contractors or visitors.
We kindly ask that you take all necessary precautions to prevent accidents.

Provisional Reservation

If you are considering using our space, please inquire about availability in advance here.
Provisional reservations are accepted from 3 months prior to the date of use. However, please make sure to confirm the reservation or notify us of any changes or cancellations within 1 month from the provisional reservation.

※ Please note that if we do not receive any communication within the specified time frame, we reserve the right to cancel the provisional reservation.

Site Visit and Inspection

For each rental, site visits and on-site inspections are limited to a maximum of two times in total.
Each visit should be kept within 30 minutes.

Application Procedure

Once your desired rental date is confirmed, we will send you the URL for the application form.
Your reservation will be considered confirmed once you have completed and submitted the form.
After confirmation, we will send you an invoice. Please review it and make the payment by the specified due date.

Please note that if the application form is not submitted at least one month prior to the intended rental date, the tentative reservation may become invalid.

Additionally, if we determine that the details provided in the application pose any operational concerns, we reserve the right to decline your use of the space.

* For full-day rentals, an extension of up to one hour until 7:00 PM is available (hourly rate applies). Please contact us in advance if you would like to request this.

Luggage Storage

We do not handle receiving or shipping of items on behalf of users.
Please make arrangements to receive and ship your items yourself during the rental period.

Only if this is not feasible, we may accept delivery of items under the following conditions:

Fee: ¥11,000 (tax included)
Application: Please request this service at least two weeks prior to your rental date.
Delivery date: Please specify delivery for the day before your rental (weekdays only).
Disclaimer: We are not liable for any loss or damage to items we receive.
Note: This service may not be available depending on the venue's schedule.

Waste Disposal During the Period of Use

During the rental period, we will collect and properly dispose of trash that has been correctly separated and placed in the designated sorting bins inside the kitchenette.
However, the amount of trash we can collect is limited to what fits within the provided bins (each 45L) for combustible waste, non-combustible waste, and PET bottles.

※ We do not handle the disposal of cardboard boxes. Please take all cardboard boxes with you when you leave.

Cleaning During the Rental Period

Cleaning during the rental period will be as follows:
Common areas (entrance, kitchenette, restrooms): cleaned by our staff.
Inside the rental space: cleaning is the responsibility of the user. Cleaning supplies will be provided for your use.

Rental Items

Rental items are our company’s equipment. If you wish to use loaned items, you must apply at least two weeks before the rental start date. We strictly do not accept additional requests after this deadline due to stock and delivery arrangements.
At the end of the rental period, please check the quantity and return the items. If any loaned items are damaged or soiled, repair or cleaning fees will be charged separately.

Rental Items

After using the rental space, please clean and restore it to the condition it was in upon your arrival.
Cleaning supplies will be provided for your use.

Spotlights / Other Rental Items

Spotlights can be repositioned, angled, or removed. However, please be sure to return them to their original state after use.
Similarly, for other rental equipment, please return items to their original locations after use.

Regarding the Stockroom (Backstage) by the Restrooms

This area is outside the scope of your contract and is not available for use.
Please also refrain from leaving any personal belongings there.

Regarding Food and Drink

Events with the primary purpose of eating and drinking in this space are generally prohibited.
However, consumption of odorless beverages and light snacks is allowed. Please rinse dishes lightly with water before disposing of them in the appropriate trash bins.

※ Please note that additional cleaning fees may be charged if items are excessively soiled.

Payment Method

Payment must be made in advance via bank transfer to the designated account.
After your reservation is confirmed, please transfer the usage fee by the due date indicated on the invoice.
Please note that the transfer fee is the responsibility of the user.
If payment is not made by the due date (as stated on the invoice) and we are not notified, your reservation may be canceled. Please be aware of this.

Receipt

A "payment receipt" from the bank or a printed statement of the transfer details from internet banking can serve as a receipt. However, if you absolutely require an official receipt, please notify us in advance.

Cancellation of Application

Cancellations or changes to the reservation date must be notified by email or phone.
If you cancel after your reservation is confirmed, the following cancellation fees will apply:

  • Cancellation 60 days or more before the usage date: 30%

  • Cancellation 59 to 30 days before the usage date: 50%

  • Cancellation 29 days to the day of usage: 100%

Other Notes

Please be aware of the following points regarding the use of the space:

  • We do not accept phone calls, so please do not provide our contact information. Please handle communication with other users and guidance to the space on your own.

  • We do not provide keys to the entrance.

  • For safety reasons, we may need to enter the space if necessary.

  • The parking spaces attached to the building are not available for use. Please use nearby facilities.

  • There are no smoking areas in the rental space or on the premises. Smoking is prohibited in the building and surrounding areas in accordance with the Tokyo Metropolitan Government's ordinance on the prevention of passive smoking. Users of the rental space are responsible for alerting users and visitors.

  • Please refrain from forming a queue of visitors waiting to enter outside the rental space premises, as this will cause inconvenience to the neighborhood. Visitors should be guided by the user.

  • During the rental period, if there is heavy rainfall such as torrential rains or typhoons, we may, at our discretion, install watertight panels to prevent water from entering the facility.

Compensation for Damages

If a user (including other users on the day of use) damages, soils, or loses any buildings, equipment, fixtures, or supplies, or if our company suffers damages due to the user's violation of the terms of this agreement, the user shall be responsible for compensating for such damages.

Disclaimer

  • The Company shall not be liable for compensation for any damages incurred by the user due to circumstances beyond our control, such as natural disasters, accidents, personal injuries, loss, theft, or any other incidents, even if the use of the space is suspended or delayed.

  • The Company shall not be liable to compensate for any damage caused to the user's goods or property during the rental period of the rental space, even if the user's goods or property are soiled or damaged due to a natural disaster (earthquake, torrential rain, etc.) or other reasons beyond the Company's control.

  • In the event that the user suffers damages due to reasons attributable to our company and claims compensation from us, we will compensate within the limits of the "usage fees" received. However, we shall not be liable for any damages related to lost profits such as opportunity loss incurred by the user.

Exclusion of Anti-Social Forces

The user represents that they are not, and will not be in the future, affiliated with organized crime groups, gang members, gang-related companies, affiliates, or any other anti-social forces. In the event that the user violates this representation, the Company reserves the right to suspend the user's use of the space without prior notice. In such cases, the Company shall not be liable for any damages incurred by the user.

Cancellation and Suspension of Use

Please note that if any of the following reasons apply, we may cancel the contract or suspend the use of the space without prior notice to the user.

Matters Regarding Contract Details and Usage

  • If the actual user or usage differs from the user or usage originally presented in advance.

  • If the user transfers or subleases all or part of the usage rights to a third party.

  • If the user violates the usage rules of the space or other established regulations, or fails to follow instructions given by the staff based on these rules.

  • If the user attempts to use the space beyond its maximum capacity.

  • If it is found after the reservation is confirmed that the actual usage purpose or content significantly differs from the original stated purpose.

Matters Related to Safety, Order, and Laws

  • Acts that are, or may be, contrary to public order or good morals.

  • Acts that violate, or may violate, applicable laws and regulations.

  • Acts that are deemed to benefit organizations engaged in, or likely to engage in, collective or habitual violent or antisocial behavior.

  • Acts that infringe, or may infringe, upon the privacy, property rights, copyrights, or other rights of others.

  • Acts that slander, defame, or cause disadvantage to others, or are likely to do so.

  • Acts that damage, or may damage, the facility or its equipment.

  • Acts that involve the use of fire or other hazardous materials which may result in fire, explosion, or other dangers.

  • Acts that generate noise, vibration, or odors that may disturb the surrounding environment.

  • Bringing hazardous materials or animals into the facility without prior permission from our company (excluding assistance dogs accompanying individuals with disabilities).

  • Acts that are deemed to potentially hinder the healthy development of minors.

  • Attempts to use the facility for funerals, memorial services, or any similar ceremonies.

Others

  • Any other case in which the use is deemed, or is likely to be deemed, to interfere with our management or operations.

Changes to the Terms

The Company reserves the right to change these terms without prior notice.
